Plaintiffs bring this action against Defendants Firmage, Richards, and related corporate entities to obtain damages, restitution, and injunctive relief arising from fraudulent schemes, deceptive business practices, breach of fiduciary duties, and violations of applicable securities and trade practice laws. This action arises out of a series of fraudulent solicitations, false representations, and deceptive omissions made by Defendants to induce Plaintiffs into investing significant capital into Firmage's purported breakthrough clean energy and laboratory development venture. Rather than deploying capital as represented, Defendants misallocated funds and concealed critical project failures. Plaintiffs include individual and entity investors who provided capital in multiple funding tranches based on Defendants' explicit representations. Defendants comprise the primary individual promoters, including Firmage and Richards, together with affiliated operating entities, holding companies, and related shell organizations utilized to facilitate the transactions. This Court has subject matter jurisdiction over the federal claims pursuant to applicable federal statutes and supplemental jurisdiction over the state law claims. Venue is proper in this district because substantial events, transactions, and omissions giving rise to the claims occurred within this jurisdiction. Defendants initiated contact with Plaintiffs promoting a proprietary technology platform and advanced laboratory facility. Throughout multiple rounds of outreach, Defendants presented technical specifications, commercialization timelines, and regulatory statuses that were materially false. Defendants made initial representations regarding technology readiness, institutional backing, and patent portfolios to secure the first round of financing from Plaintiffs. Building upon manufactured progress reports and fabricated milestones, Defendants solicited a second round of capital, reiterating commitments regarding fund segregation and operational benchmarks. Defendants continued their deceptive course of conduct to extract additional tranches of funding, falsely claiming immediate commercial deployment and upcoming major partner transactions. Inconsistencies in reporting, evasive responses to audit requests, and unfulfilled milestone commitments prompted initial inquiries and escalating concern regarding project legitimacy. Independent investigation, review of financial records, and verification of scientific claims revealed that key technical capabilities did not exist, funds had been diverted for improper purposes, and representations regarding intellectual property were systematically false. Defendants engaged in repeated affirmative misstatements and material omissions concerning core technology validation, organizational governance, use of proceeds, financial viability, and regulatory compliance. Defendants knowingly made false statements of material fact regarding technical performance, partnership agreements, valuation metrics, and project progress with the intention that Plaintiffs rely upon them. Defendants intentionally suppressed and concealed critical material facts, including structural scientific failures, insolvency risks, prior legal judgments, and the diversion of investor funds. Plaintiffs assert sixteen separate causes of action against Defendants, including Federal Securities Fraud, State Securities Fraud, Common Law Fraud, Fraudulent Inducement, Negligent Misrepresentation, Breach of Fiduciary Duty, Breach of Contract, Unjust Enrichment, Civil Conspiracy, and statutory deceptive trade practices. Defendants' conduct was willful, wanton, malicious, and executed with reckless disregard for Plaintiffs' rights and substantial financial interests, warranting an award of exemplary and punitive damages to punish Defendants and deter similar misconduct. Plaintiffs pray for judgment against Defendants for actual and compensatory damages, rescission of investment agreements, restitution of all invested funds, punitive damages, pre-judgment and post-judgment interest, reasonable attorneys' fees, costs of suit, and such other and further relief as the Court deems just and proper.
